Terms and Conditions for Urban Soko

These Terms and Conditions (“Agreement”) govern your use of UrbanSoko.com, an eCommerce platform (“Platform”), operated by Urban Soko, located in Nairobi, Kenya. By using our Platform, you (“User,” “Customer,” or “Vendor”) agree to comply with these Terms and Conditions.
1. Definitions
- “Customer” refers to a person or entity that browses, shops, or purchases products through the Platform.
- “Vendor” refers to a registered third-party seller who lists and sells products on the Platform.
- “Product” refers to any goods listed for sale on the Platform by a Vendor.
- “Platform” refers to the eCommerce website, mobile app, or any other service provided by [Your Website Name].
2. User Registration and Accounts
- To use the Platform, both Customers and Vendors must create an account by providing accurate and complete registration information.
- Vendors must provide documentation required by Kenyan law, including proof of business registration, VAT number, and other relevant legal requirements.
- It is the responsibility of the User to maintain the confidentiality of their account information, including username and password.
3. Vendor Responsibilities
- Vendors are responsible for listing their products accurately, including descriptions, pricing, availability, and compliance with all relevant laws and regulations in Kenya.
- Vendors must ensure that the products they list do not violate any intellectual property rights, consumer protection laws, or import/export regulations.
- Vendors are responsible for fulfilling all orders promptly, managing inventory, and handling customer service and returns related to their products.
- Vendors must ensure that all products meet the minimum quality standards set by Kenyan authorities and the Platform.
4. Customer Responsibilities
- Customers must ensure the accuracy of their order details, including shipping information and payment details.
- Customers agree to pay for all products purchased on the Platform, including applicable taxes, shipping fees, and other charges.
- Customers should inspect products upon receipt and report any issues, such as defects or discrepancies, within the time frame specified in the return policy.
5. Pricing and Payment
- All product prices on the Platform are listed in Kenyan Shillings (KES) unless otherwise specified.
- Payments for orders are processed through secure third-party payment gateways such as [Payment Gateway Name], and Customers agree to comply with the terms and conditions of these providers.
- Vendors are responsible for setting their prices and may be charged a commission fee by the Platform for using the service. The commission structure will be communicated to Vendors upon registration.
6. Orders and Shipping
- Once an order is placed, the Vendor will be notified and must fulfill the order within the specified time.
- Shipping costs, delivery times, and tracking information are determined by the Vendor, subject to the shipping policies of the Platform.
- The Platform is not responsible for any delays or issues related to shipping or delivery beyond the control of the Vendor.
7. Returns, Refunds, and Cancellations
- Vendors must provide a clear return and refund policy for their products, which must be compliant with Kenyan consumer protection laws.
- If a product is damaged, defective, or not as described, the Customer may request a return or refund as per the Vendor’s policy and Kenyan law.
- Orders may be canceled by Customers before shipment. Once shipped, cancellations are subject to the Vendor’s return and refund policies.
8. Platform Fees and Commissions
- The Platform charges Vendors a commission fee for each sale made on the Platform. The specific commission rate will be disclosed to Vendors during registration or as part of a separate agreement.
- The Platform reserves the right to change the commission structure, fees, or introduce new charges, with prior notification to Vendors.
9. User Content
- Users may upload content such as product descriptions, reviews, and images to the Platform. By submitting content, Users grant [Your Website Name] a non-exclusive, worldwide, royalty-free license to use, display, and distribute the content in connection with the Platform.
- Users must ensure that all content complies with Kenyan laws, including copyright, trademark, and defamation laws.
10. Prohibited Activities Users of the Platform agree not to engage in the following activities:
- Selling counterfeit, illegal, or prohibited items.
- Engaging in fraudulent or misleading practices.
- Interfering with the Platform’s functionality or security.
- Violating any local or international laws.
11. Dispute Resolution
- In the event of a dispute between a Customer and a Vendor, both parties agree to first attempt to resolve the issue through direct communication.
- If a resolution is not reached, the parties may submit the dispute to the relevant authorities or courts in Kenya.
- The Platform is not responsible for resolving disputes between Customers and Vendors but may assist in mediating the resolution where necessary.
12. Termination
- The Platform reserves the right to suspend or terminate any User’s account if they violate these Terms and Conditions or engage in unlawful activities.
- Vendors may terminate their account by providing written notice to the Platform, subject to any outstanding obligations.
13. Limitation of Liability
- The Platform is provided “as is” and without any warranties, express or implied. We do not guarantee that the Platform will be error-free or available at all times.
- The Platform is not liable for any loss, damage, or injury arising from the use of the service, including but not limited to product defects, shipping delays, or disputes between Users.
14. Privacy and Data Protection
- The Platform collects personal data in accordance with the Data Protection Act of Kenya and will not share this data without consent, except as required by law.
- Users consent to the collection and use of their personal data as outlined in our Privacy Policy.
15. Amendments to Terms and Conditions
- The Platform reserves the right to update or modify these Terms and Conditions at any time. Any changes will be communicated to Users, and continued use of the Platform constitutes acceptance of the updated terms.
16. Governing Law
- These Terms and Conditions are governed by the laws of Kenya, and any disputes arising from these Terms will be subject to the exclusive jurisdiction of the courts in Kenya.
